Anti-Bribery Policy of China State Construction (trial)
中国建筑践行“崇德善建 尚廉筑基”廉洁文化理念,坚持诚信经营,恪守商业道德,始终将廉洁从业作为企业发展的生命线。严格遵守中国境内以及经营所在地反贿赂法律法规要求,对腐败行为持“零容忍”态度,以健全的制度和严格的管理,引导员工努力为社会服务,同时保障企业经营活动廉洁守法、健康发展。
China State Construction upholds the integrity-based corporate culture of “pursuing virtue and excellence in construction, building a foundation of integrity”. Upholding honesty and business ethics in its operations, the Company regards integrity as central to its long-term development. We rigorously comply with anti-bribery laws and regulations in China and in all locations where we operate, and take a zero-tolerance stance toward corruption. Through robust policies and strict management, we guide employees to serve society responsibly while ensuring that the Company’s business activities are conducted legally, ethically, and in a healthy, sustainable manner.
一、适用范围 Scope of Application
(一)机构范围 Institution
适用于公司总部和下属各级单位。
It applies to Company headquarters and subsidiary affiliates and units at all levels.
(二)人员范围 Personnel
适用于全体员工。
It applies to all employees.
二、术语定义 Definitions
(一)腐败:指公司工作人员运用从事相关业务领域所掌握的权力和便利,违反中国境内或经营所在地相关法律法规和政策规定,谋取私人利益或小团体利益的违法犯罪行为。
Corruption: Unlawful or criminal acts in which company personnel, by abusing the authority and convenience derived from their business role, violate applicable laws, regulations, or policies in China or in the jurisdictions where the company operates, in order to seek personal gain or benefits for a clique.
(二)贿赂:指公司工作人员在业务活动和工程建设周期等环节中,为谋取不正当利益,收受或者给予他人(包括但不限于业务伙伴、分包分供商、政府有关部门等)财物及相关报酬。
Bribery: Acts in which company personnel, during business activities or the project construction cycle, receive or offer money, gifts, or other benefits (including but not limited to business partners, subcontractors, suppliers, and relevant government departments) in order to obtain improper advantages.
(三)内部风险:指公司各级企业人员思想道德风险、不正确履职的行为风险、组织制度机制缺陷风险及监督保障缺位风险等。
Internal risks: Risks arising from employees’ ethical or moral lapses, improper performance of duties, weaknesses in organizational systems and mechanisms, and absence of supervision or safeguards.
(四)外部风险:指公司各级单位或企业人员个人与外部利益方之间的不当行为(欺诈、腐败、串通舞弊等)产生的廉洁风险。主要包括但不限于:与业务伙伴交易或往来中产生的廉洁风险,如业务和“中间人”索贿、主动行贿业主或通过“中间人”利益输送,对分包分供商索贿、吃拿卡要等;与政府有关部门往来中的廉洁风险,如向政府有关部门、“中间人”等行贿、提供超标准接待或赠送礼品礼金等。
External risks: Integrity risks arising from improper conduct (such as fraud, corruption, or collusion in fraudulent practices) between company units at any level or personnel and external interested parties. These mainly include, but are not limited to integrity risks in dealings with business partners, such as soliciting bribes through business channels or intermediaries, offering bribes directly to clients or transferring benefits through intermediaries, and soliciting or accepting improper benefits or demanding undue advantages, illicit payments or favors from subcontractors and suppliers; and integrity risks in interactions with government authorities, such as offering bribes to officials or intermediaries, providing hospitality beyond approved standards, or giving gifts or cash.
(五)利益冲突:公司所有员工应当避免任何利益冲突(即私人利益与公司利益有所冲突)或被视为有利益冲突的情况。所有员工应当在出现实际或潜在利益冲突情况时向人力资源部门申报。例如:参与采购工作的员工与本公司内任何公司考虑的分包分供商有密切关系或拥有该公司的股份;负责招聘或晋升事宜的员工是应聘者或考虑晋升人员的家属、亲戚或私交朋友;任何员工在他负责监管的承包商兼职等情形。
Conflict of interests: All employees must avoid any actual or perceived conflicts of interest (i.e., situations where personal interests conflict with the interests of the Company). Employees are required to disclose any actual or potential conflicts of interest to the Human Resources Department. For example, employees involved in procurement who have close relationships with, or hold shares in, any subcontractors or suppliers being considered by the Company; employees responsible for recruitment or promotion processes being family members, relatives, or close personal friends of applicants or candidates; and employees holding a secondary job or engaging in part-time work with contractors under their supervision.
三、廉洁风险防控职责
Responsibilities for Integrity Risk Prevention and Control
(一)中国建筑党组:公司党组统一领导廉洁风险防控工作,负责制定公司廉洁风险防控管理体系、部署廉洁风险防控各项任务,定期听取总部部门落实廉洁风险防控要求的汇报。
Party Leadership Group of China State Construction: The Company’s Party Leadership Group exercises unified leadership over the Company’s integrity risk prevention and control, responsible for establishing the management system, deploying related tasks, and regularly reviewing reports from headquarters departments on the implementation of integrity risk control requirements.
(二)各级纪检机构:各单位纪检监督机构负责组织协调本单位各部门落实廉洁风险防控责任,对本单位落实廉洁风险防控要求情况进行监督检查。
Disciplinary inspection bodies at all levels: Disciplinary supervision bodies within each unit are responsible for organizing and coordinating the implementation of integrity risk prevention and control responsibilities across departments, and for supervising and inspecting the unit’s compliance with integrity risk control requirements.
(三)公司总部和子企业各部门:公司总部和子企业各部门在本单位业务范围内落实廉洁风险防控任务。
Headquarters and departments of subsidiaries: Departments within the Company’s headquarters and subsidiaries are responsible for implementing integrity risk prevention and control tasks within their respective business scopes.
(四)各二级子企业:各二级单位按照公司党组要求,加强组织领导,切实落实廉洁风险防控责任,建立健全与企业发展管理相适应的本级廉洁风险防控工作体系。
Secondary-level subsidiaries: In accordance with the requirements of the Company’s Party Leadership Group, each secondary-level companies shall strengthen organizational leadership, fulfill integrity risk prevention and control responsibilities, and establish a robust integrity risk management system aligned with the unit’s development and management needs.
四、管理机制 Administration System
(一)反腐败组织体系
Anti-Corruption Organizational System
公司构建了“反腐败工作领导小组-反腐败工作协调小组-各职能部门”的三级反腐败监督管理体系,为公司反腐败工作奠定坚实基础。
The Company has established a three-tier anti-corruption supervision and management system consisting of the “Anti-Corruption Work Leading Group – Anti-Corruption Work Coordination Group – Functional Departments”, providing a solid foundation for its anti-corruption efforts.
反腐败工作领导小组:主要负责对公司反腐败各项工作实施统一领导、统筹规划、组织协调、监督落实。
Anti-Corruption Work Leading Group: Mainly responsible for unified leadership, overall planning, organizational coordination, and supervision of the Company’s anti-corruption initiatives.
反腐败工作协调小组:主要职责为定期研究、分析公司党风廉政建设和反腐败工作形势,协助公司党组抓好党风廉政建设和反腐败工作,定期听取成员部门关于反腐败工作推进情况的汇报,及时向反腐败工作领导小组提出工作意见和建议。
Anti-Corruption Work Coordination Group: Mainly responsible for regularly reviewing and analyzing the Company’s Party conduct, integrity, and anti-corruption work; assisting the Company’s Party Leadership Group in promoting these endeavors; listening to the briefings from member departments on the progress of anti-corruption work at regular intervals; and providing opinions and recommendations to the Anti-Corruption Work Leading Group.
各职能部门:主要职责为在本部门业务领域内执行公司反腐败制度及各项管理措施,落实公司党组关于党风廉政建设和反腐败工作的各项部署。
Functional Departments: Mainly responsible for implementing the Company’s anti-corruption policies and administrative measures within their respective business areas, and executing the work arrangement of the Company’s Party Leadership Group regarding Party conduct, integrity, and anti-corruption work.
(二)反腐败制度体系
Anti-Corruption Institutional Framework
公司以加强政治监督意见、日常监督办法为统筹,制定涵盖监督检查、审查调查、反腐败治理、廉洁文化培训等方面的制度规范,结合多年反腐败工作经验,形成“121”监督体系、“四位一体”工作法等体系机制。
Guided by opinions on strengthening political supervision and methods for routine supervision, the Company has established a comprehensive anti-corruption institutional framework covering supervision and inspection, investigation and review, anti-corruption governance, and integrity culture training. Drawing on years of practical experience in anti-corruption work, the Company has built various mechanisms such as the “121” Supervision System and the “Four-in-One” Approach.
“121”监督体系:公司统筹“1”个监督体系,推动各部门履行监督守则,同时抓好纪检队伍自身建设,落实好政治监督和日常监督“2”个监督,政治监督聚焦党中央关心的大事、上级部署的要事、企业改革发展的实事,日常监督紧盯重点人重点事,通过拉表列单把两个监督落到实处,最终实现让企业和干部行稳致远“1”个目标。反腐败工作领导小组定期召开专题会商会,反腐败协调小组健全会议、共享、移交、督办等协同机制,推动首责监督作用有效发挥。
“121” supervision system: The Company coordinates one unified supervision framework that drives all departments to fulfill their supervisory responsibilities while strengthening the discipline inspection workforce itself. It implements two types of supervision: political supervision and routine supervision. Political supervision focuses on major national priorities, key directives from higher authorities, and practical matters related to corporate reform and development. Routine supervision closely monitors key individuals and key issues, ensuring both forms of supervision are enforced through structured checklists and accountability measures. Together, these efforts serve one ultimate goal of ensuring the Company and its leadership remain on a steady and sustainable path. The Company’s Anti-Corruption Leadership Group convenes regular special meetings, while the Anti-Corruption Coordination Group strengthens mechanisms for meetings, information sharing, case transfer, and oversight, thereby enhancing the effectiveness of primary supervisory responsibilities.
“四位一体”廉洁风险防控体系:公司以境外团队建设为引领和根基,以监察监督+合规检查为统筹和惩戒,以财务+审计为体检和纠偏手段,以合规管理为底线和保障,建立“四位一体”境外廉洁风险防控体系。强化境外企业合规监督管理机构和人员设置、突出境外企业“一把手”和“关键少数”监督、落实跨境腐败治理、开展境外腐败专项整治等工作,强化境外廉洁风险防控,确保境外不例外。
“Four-in-One” integrity risk prevention and control system: The Company has established an overseas integrity risk prevention and control framework built on four pillars: overseas team development as the foundation and guiding force; disciplinary inspection and compliance review as the coordinating and corrective mechanisms; finance and audit as the diagnostic and rectification tools; and compliance management as the baseline and safeguard. This “Four-in-One” system strengthens the setup of compliance supervision bodies and personnel in overseas operations, emphasizes supervision of the “first-in-command” and “key decision-makers”, advances cross-border anti-corruption governance, and implements targeted overseas anti-corruption campaigns, so as to reinforce integrity risk controls abroad, and ensure that overseas operations are held to the same standards without exception.
(三)风险排查识别与防控
Risk Identification and Prevention
廉洁风险排查:公司总部及各二、三级单位按照部门业务分工、岗位职责和授权,全面梳理确定各岗位工作职责与权力,形成“权责清单”。在“权责清单”的基础上,通过自查、职工评议、专业建议、案例分析和组织审定等方法,查找每个业务流程或岗位存在的廉洁风险点,按照廉洁风险点发生概率及危害程度,结合权力的重要程度、自由裁量权大小等因素评定廉洁风险等级。
Integrity risk identification: Headquarters and secondary- and tertiary-level units of the Company should comprehensively review and define the responsibilities and authorities of each position based on business divisions across departments, job responsibilities, and authorizations, and formulate a “List of Authority and Accountability” Based on this list, integrity risk points in each business process or position are identified through self-assessments, employee evaluations, professional advice, case analyses, and organizational review. Each identified risk point is then assessed for its risk level by considering the likelihood of occurrence, potential impact, importance of the authority involved, and the degree of discretion afforded to the role.
廉洁风险防控:根据廉洁风险点所在的不同业务步骤、岗位和廉洁风险等级,从增强防控意识、完善制度、强化监督和动态管理等方面,针对性地制定各岗位风险防控措施,建立岗位风险防控手册,归集审视廉洁防控工作,明确各业务部门和岗位应当承担的廉洁风险防控职责,包括:建立廉洁风险意识、明确承担责任、承诺采取有效防控措施以及持续跟进完善等。
Integrity risk prevention and control: Based on the specific business steps, positions, and risk levels of identified integrity risk points, targeted risk prevention measures are developed for each role, focusing on raising awareness, improving systems, strengthening supervision, and implementing dynamic management. A Position Risk Control Manual is formulated to consolidate and review integrity risk prevention efforts. This manual clarifies the responsibilities of each business department and role in integrity risk management, including cultivating integrity risk awareness, defining accountability, committing to effective preventive measures, and continuously monitoring and improving controls.
(四)举报 Reporting
举报平台:公司鼓励员工及其他人员对本公司内的欺诈、贪污、舞弊、违规等不当行为进行举报,建立了公开、透明、顺畅的信访举报平台,通过运用互联网技术和信息化手段,畅通信访举报渠道,规范信访举报工作,及时处理并科学研判贪污腐败、商业贿赂等各类问题线索。
Reporting platform: The Company encourages employees and other personnel to report improper conduct within the Company, including fraud, embezzlement, fraudulent acts, and violations of regulations. The Company has put in place a public, transparent, and accessible reporting platform, leveraging internet technologies and digital tools to facilitate reporting, standardize the process, and ensure timely handling. The platform enables the Company to effectively assess and address issues such as corruption, business bribery, and other misconduct.
举报人保护:公司全面支持并保护员工及其他人员的举报权益,避免举报人遭受不公平待遇、迫害或者纪律处分,严厉打击报复举报人的行为。
Protection of whistleblowers: The Company fully supports and safeguards the rights of employees and other personnel who report misconduct to ensure they are not subjected to unfair treatment, retaliation, or disciplinary action. Acts of retaliation against whistleblowers are strictly prohibited and subject to severe sanctions.
保密:公司鼓励举报人提供正确姓名、联络信息及更多关于举报事项的详细材料以作跟进调查,调查过程中严格遵守保密事项,未取得举报人同意前不会透露相关信息。
Confidentiality: The Company encourages whistleblowers to provide their real name, contact information, and detailed information regarding the report to facilitate follow-up investigations. Confidentiality is strictly maintained during the investigation, and no information will be disclosed without the whistleblower’s consent.
(五)廉洁培训 Training on Integrity
廉洁从业教育:聚焦腐败易发多发的重要领域和关键岗位开展廉洁从业教育。落实财务、商务、物资采购等业务系统和项目负责人岗位的年度述职述廉和新员工入职廉洁教育。
Integrity education: Integrity education is focused on high-risk areas and key positions where corruption is more likely to occur. Annual integrity reporting is implemented for roles such as finance, business, and procurement staff, as well as project leaders, alongside mandatory integrity training for new employees upon joining the Company.
警示教育:不定期通报系统违反廉洁自律的典型案例,以案明纪、以案促教,以案促改,增强全员廉洁意识、风险意识、自律意识和廉洁风险防控意识。
Warning and awareness-raising education: Typical cases of violations of integrity and self-discipline are reported on an irregular basis to illustrate rules, promote learning, and drive corrective action, thereby strengthening employees’ awareness of integrity, risk, self-discipline, and integrity risk prevention and control.
廉洁从业承诺:纪检监察部门每年组织公司领导人员和关键岗位人员签订廉洁从业承诺书,公开廉洁承诺,接受组织监督、职工群众监督和社会监督。
Integrity commitment: Each year, the Disciplinary Inspection and Supervision Department organizes the Company’s leadership and personnel in key positions to sign an Integrity Commitment Statement. This publicly affirms their dedication to ethical conduct and subjects them to supervision by the organization, employees, and society.
加强廉洁文化建设:落实公司《廉洁文化建设管理办法(试行)》,充分运用企业内外报刊杂志、网络新媒体等载体,宣贯廉洁文化理念,展示廉洁文化建设成果,引导企业员工积极践行中国建筑“崇德善建 尚廉筑基”廉洁文化理念。
Strengthening integrity culture: The Company implements the Measures for the Construction of Integrity Culture (Trial), and uses internal and external publications, online media, and other channels to promote the concept of integrity, showcase achievements in integrity culture, and guide employees to practice China State Construction’s integrity-based corporate culture of “pursuing virtue and excellence in construction, building a foundation of integrity”.
(六)违规处罚及处理程序
Violation Penalties and Handling Procedures
深化运用监督执纪“四种形态”,特别是第一种形态,对发现的苗头性问题运用批评教育、谈话提醒、约谈函询等方式及时处置,做到早发现、早提醒、早纠正。
The Company strictly practices the four forms of oversight over discipline compliance, particularly the first form, to address early warning signs through measures such as criticism and education, reminders during conversations, and formal letters or inquiries, ensuring issues are detected, addressed, and corrected promptly.
对涉嫌违规违纪的问题线索,按规定移交给各级纪检监察部门处置,严重违纪涉嫌违法犯罪的,移交国家监察机关或司法机关处理。
Clues or reports of suspected violations are transferred to disciplinary inspection and supervision departments at the relevant level in accordance with regulations. Serious breaches that may constitute criminal offenses are referred to national supervisory or judicial authorities.
对发生的贪污腐败事件,及时做好信息披露,包括贪污腐败事件具体情况、处罚情况以及后续改进和完善情况等内容。
For cases of corruption or embezzlement, the Company ensures timely disclosure of information, including details of the incident, penalties imposed, and subsequent corrective measures and improvements.
五、重点关注领域 Focus Areas
(一)靠企吃企
Exploiting the company for personal gains
表现为开设“影子公司”,充当“影子股东”,违规经商办企、关联交易或违规决策,借机谋取私利,或是利用掌握的企业信息或数据,借机谋取私利。针对此类问题,提出3项防控措施。
It refers to behaviors such as establishing “shadow companies”, acting as “shadow shareholders”, engaging in unauthorized business activities, related-party transactions, or improper decision-making, and using access to company information or data to seek personal benefits. To address such issues, the Company has proposed three preventive measures.
1.建立完善领导人员廉政档案。
1. Establish and improve integrity files for leadership personnel.
2.严格执行重大事项报告制度。
2. Strictly implement the reporting system for major matters.
3.定期开展“靠企吃企”专项检查,对违规经商办企行为坚决查处、严肃处理、加强问责,形成高压氛围。
3. Regularly carry out special inspections on “exploiting the company for personal gains”. Any unauthorized business activities or enterprises are resolutely investigated, strictly addressed, and met with strengthened accountability to create a strong deterrent environment.
(二)滥用职权 Abuse of Power
表现为干预或插手项目承发包,招标采购,资产和资源的使用、分配、承包、租赁等,或是利用职务便利在审核或审批中人为设置关卡、谋取私利。针对此类问题,提出2项防控措施。
It refers to behaviors such as intervening in or influencing project contracting, bidding and procurement, the use, allocation, contracting, or leasing of assets and resources, or abusing one’s position to impose unnecessary obstacles or manipulate approval processes for personal gain. To address such issues, the Company has proposed two preventive measures.
强化内控管理,细化采购管理制度。依据上级和行业的最新要求,针对采购合规风险点,细化完善各类分包分供的采购方式和流程标准,加强采购内控管理,提升采购管理规范化和流程标准化。
Strengthen internal controls and flesh out procurement management systems. Based on the latest requirements from higher authorities and industry standards, the Company refines and improves procurement methods and process standards for various subcontracting and supply arrangements, addresses compliance risk points, strengthens internal controls, and enhances the standardization and procedural consistency of procurement management.
对领导干部插手干预重大事项严格进行记录,在制度层面完善审核审批流程,堵塞管理漏洞。
Record any interference by senior leaders and improve the review and approval processes at the system level to address management gaps.
六、境外企业廉洁风险防控
Integrity Risks Control of Overseas Companies
公司把境外企业廉洁风险防控全面纳入党风廉政建设和反腐败工作体系,坚持诚信经营、合规经营、坚决抵制商业贿赂,坚持因地制宜、“一国一策”,逐步建立公司境外廉洁风险防控体系,防范高腐败风险国家、地区的项目廉洁风险。
The Company fully integrates the integrity risk prevention and control of overseas companies into its overall framework for Party conduct, integrity, and anti-corruption work. It adheres to the principles of honest and compliant operations, cracks down on business bribery, and takes a “one country, one policy” approach tailored to local conditions. Step by step, the Company has established an overseas integrity risk prevention and control system to mitigate project-related risks in countries and regions with high corruption risk.
(一)加强日常监督管理
Strengthen daily supervision and management
突出关键少数监督,严把境外企业主要负责人的政治关、廉洁关。制定境外人员廉洁从业行为规范,完善对境外人员廉洁谈话制度,严格落实请示报告制度,落实对境外单位领导人员的廉洁“画像”。
The Company places emphasis on supervising “key minority” personnel, strictly assessing the political integrity and ethical conduct of the principal leaders of overseas companies. It has developed codes of conduct for overseas staff, improved the integrity interview mechanism for overseas personnel, rigorously enforced the reporting and approval system, and implemented integrity profiling for leaders of overseas units.
突出重点领域和薄弱环节监督。建立完善“三重一大”集体决策制度,规范企业内部权力运行。建立健全境外企业财务管理信息化系统,加强对管理要素不全企业的集中统一管控。建立健全企业负责人、总会计师等关键岗位派驻和定期轮岗制度。
The Company emphasizes supervision over key areas and weak links. It has established and improved a collective decision-making system for major events, appointments and removal of important officials, important project arrangements, and use of large amounts of funds, in a bid to standardize the exercise of internal corporate power. An information-based financial management system has been developed and improved for overseas companies to strengthen centralized and unified supervision of entities with incomplete management elements. The Company has also established and enhanced mechanisms for the assignment and regular rotation of key positions such as company heads and chief accountants.
(二)加强廉洁教育Improve integrity education
与所在国机构合作开展反腐败和合规守法学习、教育、研究,引导境外企业人员树立合规经营理念,严格遵守所在国家和地区的法律法规,尊重公序良俗,遵循国际规则和惯例。
The Company cooperates with institutions in countries where it operates to carry out anti-corruption and compliance-related learning, training, and research. It guides overseas companies employees to raise awareness of compliant operations, strictly abide by the laws and regulations of host countries and regions, respect public order and good customs, and follow international rules and practices.
加强对境外企业主要负责人和党员领导干部的思想政治教育,坚定理想信念,增强“四个意识”,筑牢拒腐防变思想防线。因地制宜采取多种形式,及时组织传达学习党中央精神,确保党员教育全覆盖。经常性开展党章党规党纪专题学习,突出政治纪律、组织纪律、廉洁纪律、外事纪律、安全保密纪律,强化纪律意识、规矩意识和责任意识。
The Company works to strengthen political and ideological education for the principal leaders and Party-member officials of overseas companies, reinforce their ideals and convictions, enhance the “Four Consciousnesses,” and build a solid ideological defense against corruption and moral decay. Tailored to local conditions, various forms are adopted to promptly organize the study and communication of the central leadership’s guidance, and ensure full coverage of Party-member education. Regular thematic study sessions on the Party Constitution, Party regulations, and Party discipline are carried out, with emphasis on political discipline, organizational discipline, integrity discipline, foreign affairs discipline, and confidentiality and security discipline, thereby strengthening awareness of discipline, rules, and responsibility.
结合岗位廉洁风险防控,对企业一般人员开展有针对性的警示教育提高企业人员职业道德意识、合规诚信意识和廉洁风险防控意识,营造合规廉洁的良好内部环境。
Aligned with position-specific integrity risk controls, the Company provides tailored warning and awareness-raising programs for employees to enhance their professional ethics, awareness of compliance and integrity values, and ability to identify and mitigate integrity risks, thereby cultivating a corporate culture rooted in compliance and ethical conduct.
七、检视与更新 Review and Update
本政策由中国建筑负责制定、解释和修订。我们将根据国家政策、监管要求、行业发展和内部管理需要,适时对本政策进行检视和更新。
This policy is formulated, interpreted, and revised by China State Construction. We will review and update it as appropriate in response to national policies, regulatory requirements, industry developments, and internal management needs.
